Purpose of the Position/Job Summary

The Legal and Compliance Department (the “Department”) of the Legal and Compliance Division (the “Division”) of Mitsubishi Corporation (Americas) (“MCA”) is responsible for managing the legal and compliance risk of the affiliates of Mitsubishi Corporation (the “MC Group”) in North America, including Mitsubishi International Corporation (“MIC”). Members of the Department fulfill this mission by providing prompt, effective legal advice to MC Group companies with respect to their transactional matters, corporate governance matters, disputes, and investigations, and overseeing the implementation and oversight of their compliance programs. The Paralegal will primarily support the Department with various corporate governance needs of the company, as well as provide research, analysis, administrative, and operational support as needed for the Division in order to manage the high volume of work.

Key Accountabilities

The Paralegal will, under the supervision of the General Manager of the Department (working in conjunction with the leader of the team responsible for the corporate governance and administration) and, as necessary, by coordinating with other members of the Department:

  • Assist in the management of the corporate governance of the company by proactively supporting the Corporate Secretary and Assistant Secretary of MCA and MIC. This includes: (a) drafting minutes and resolutions; (b) drafting Secretary’s Certificates; (c) circulating, tracking, logging, filing, uploading, downloading, and saving documents; (d) preparing for quarterly Executive Committee meetings; (e) maintaining minute books and files documenting corporate actions; (f) maintaining officer and director lists and other records as necessary; and (g) partaking in initiatives to identify and resolve governance weaknesses, and other projects as needed, etc.
  • Assist in the development of templates and/or checklists for use by MC Group affiliates in effectively managing their corporate governance needs.
  • Manage annual reports for MCA and MIC, DBA renewals, and other state/local filings as needed.
  • Assist in-house counsel in handling legal aspects of assigned transactional matters of MC Group companies in our region. This work includes assistance with: (a) researching statutes for filing requirements; (b) organizing and preparing the documentation of those transactions, and liaising with the attorneys, business team, state/local government(s), and corporate solutions provider to coordinate formation and dissolution of entities; (c) preparing and/or reviewing documents such as the certificate of incorporation, amendments, foreign registration filings, bylaws, unanimous written consents, organizational documents; (d) assisting with process agent set up, document retrieval, apostille; and (e) assisting with research as needed. 
  • Compile documents and responses to internal audits. Coordinate and process quarterly and annual audit letters of MCA and its affiliates.
  • Maintain and safe-keep the policies under the Division’s custody on the Company’s intranet, provide an annual update of those policies as requested by the Internal Control Department, and maintain Policy Update Log.
  • Coordinate quarterly litigation and arbitration update and legal hold update and maintain and safe-keep the records.
  • Annual renewal of Legal Entity Identifier with GMEI Utility.
  • Assist the Division in its efforts to enhance the legal and compliance sensitivity and awareness of our employees and MC Group clients through training and resource sharing. This includes assistance with: (a) preparing training materials and organizing training sessions; (b) editing manuals and awareness materials; (c) maintaining databases; (d) conducting surveys, etc.

The Paralegal will also provide administrative support for the Compliance team with the responsibilities including the following but not limited to:

  • Assisting with the administration of the Compliance eLearning Programs including the elearning management system, user account maintenance, support and troubleshoot user account issues, generation of monthly reports, and liaise with the vendor and internal clients as necessary.
  • Assisting with the administration of the Compliance Helpline Program including annual update of the necessary data, support and troubleshoot user account issues and liaise with the vendor and internal clients as necessary.
  • Providing other administrative and operational support for the administration of the compliance programs as needed. This may include but not limited to: assistance with preparing compliance resources and training and awareness materials, organizing training sessions, policy and procedure revisions, maintaining the relevant records and conducting surveys as necessary.

The Paralegal will also provide general administrative and operational support for the Division as needed, including the following but not limited: performing other administrative tasks as needed, such as payment of bills, coordination of meetings, visitor registration, generation of reports, document filing, conference room reservation, etc.

  • 2+ years of related experience, including corporate secretarial support, corporate governance support, and compliance support, preferred
  • Licenses or certifications required, if any
  • Notary Public a plus.
